User Agreement

This User Agreement is entered into between Rainmaker Digital Social ("Company") and the user ("User") accessing and utilizing the services provided by Rainmaker Digital Social. By accessing and using the services of Rainmaker Digital Social, the User agrees to be bound by the terms and conditions set forth in this Agreement.

Services Provided

Rainmaker Digital Social offers a comprehensive package that includes a hands-free CRM and digital marketing platform. The services provided include creating and running social media ads as part of the digital marketing strategy. The User acknowledges that they are responsible for the ad spend associated with running these social media ads. Additionally, the package includes a specified number of monthly texts and emails. Any texts and emails beyond the included monthly allocation are the responsibility of the User.

User Responsibilities

2.1 Account Creation and Usage

The User is solely responsible for creating and maintaining their Rainmaker Virtual Office account. The User agrees to provide accurate and up-to-date information during the account registration process. It is the User's responsibility to protect their account credentials and ensure the security of their account.

2.2 Compliance with Laws and Regulations

The User agrees to comply with all applicable laws, regulations, and guidelines while using Rainmaker Digital Social's services. The User shall not engage in any illegal or unauthorized activities through the use of the services provided by Rainmaker Digital Social.

2.3 Hands-Free or Do-it-yourself Product

Rainmaker Elite provides the option for both hands-free and do-it-yourself functionalities. Rainmaker Digital Social offers hands-free services for creating and running social media ads as part of the digital marketing strategy. The User acknowledges that they are responsible for the ad spend associated with running these social media ads.

In addition, Rainmaker Elite provides a do-it-yourself platform that allows the User to customize and manage their CRM and digital marketing activities independently. The User has the flexibility to utilize the platform's features and functionalities to create and implement their own marketing campaigns, including texts and emails.

The User can flex between the hands-free and do-it-yourself options based on their preferences and requirements.

2.4 Training Self-paced Course

Rainmaker Digital Social offers online training in the form of a self-paced course to assist Users in understanding and utilizing the platform's features. The User may choose to participate in the training course at their discretion. The training course is provided as a resource and does not guarantee specific outcomes or results.

Intellectual Property Rights

The User acknowledges that all intellectual property rights, including but not limited to copyrights, trademarks, trade secrets, and patents, associated with Rainmaker Digital Social's services and platform are owned by the Company or its licensors. The User agrees not to infringe upon or misuse the intellectual property rights of Rainmaker Digital Social.

Limitation of Liability

To the extent permitted by applicable law, Rainmaker Digital Social shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising out of or in connection with the use of its services. The User agrees to use Rainmaker Digital Social's services at their own risk.

Privacy and Data Protection

Rainmaker Digital Social takes the privacy and security of User data seriously. The Company adheres to its Privacy Policy, which outlines how personal information is collected, used, and protected. By using Rainmaker Digital Social's services, the User agrees to collecting and using their information as described in the Privacy Policy.

Termination

This Agreement is effective until terminated by either party. The User may terminate their use of Rainmaker Digital Social's services at any time by following the cancelation policy (See Below). Rainmaker Digital Social reserves the right to terminate or suspend the User's account if they violate any terms and conditions set forth in this Agreement.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the state of Florida. Any disputes arising out of or in connection with this Agreement shall be resolved through good-faith negotiations. If a resolution cannot be reached amicably, the parties agree to submit the dispute to binding arbitration in accordance with the rules and procedures of an Arbitration Organization in Florida.

Amendments

Rainmaker Digital Social reserves the right to modify or update this Agreement at any time. The updated Agreement shall be effective upon its posting on Rainmaker Digital Social's website. It is the User's responsibility to review this Agreement periodically for any changes. Continued use of Rainmaker Digital Social's services after any modifications indicates the User's acceptance of the updated Agreement.

By accessing and using the services provided by Rainmaker Digital Social, the User acknowledges that they have read, understood, and agreed to the terms and conditions set forth in this User Agreement.
